Terms of Service

1. Services Provided

Hashtag Genius provides services including but not limited to:

• Digital marketing and growth consulting
• Funnel and landing page development
• Website design and development
• Paid advertising campaign setup and management
• SEO and organic growth services
• Social media content and creative production
• CRM, automation, WhatsApp and email workflow setup
• Analytics, tracking, and performance reporting
• Sales enablement and lead management support

The exact scope of work will be defined in a proposal, agreement, or statement of work (SOW) shared with the client.

2. Eligibility

By using our services, you confirm that:

• You are at least 18 years old
• You have the authority to enter into agreements on behalf of yourself or your business

3. Client Responsibilities

To ensure successful service delivery, the client agrees to:

• Provide accurate information, access, and assets when required
• Share required logins/permissions (ads account, website, analytics, CRM, etc.)
• Approve creatives, campaigns, or deliverables in a timely manner
• Cooperate during onboarding and implementation
• Ensure compliance with applicable laws and regulations in their business operations

Delays caused due to non-cooperation may impact timelines.

4. Payments and Billing

All payments must be made as per the agreed pricing and schedule.

A. Monthly Retainers

Monthly service plans are billed in advance unless otherwise specified.

B. One-Time Setup Fees

Setup charges are non-refundable once work has begun.

C. Late Payments

If payments are delayed:

• Work may be paused until payment is received
• Hashtag Genius is not responsible for performance drops during paused periods

5. Refund Policy

Payments made for services, retainers, and setup fees are generally non-refundable, unless explicitly stated in writing.

Since our services involve time, manpower, tools, and resource allocation, refunds cannot be guaranteed after work begins.

6. Revisions and Scope Control

All services are delivered under defined scope and revision limits.

Unless otherwise stated in the agreement:

• Funnel/Landing Page revisions: Up to 2 rounds
• Creative/Post revisions: Up to 2 rounds
• Website correction rounds: Up to 2�"�3 rounds
• Reporting: No revisions (only clarifications)

Additional revisions or changes beyond scope will be chargeable.

7. Performance Disclaimer

Hashtag Genius provides strategy, execution, and optimization services. However, we do not guarantee specific results such as:

• Exact lead numbers
• Revenue growth
• Sales closures
• ROAS or ROI

Performance depends on multiple factors including:

• Market conditions
• Client offer/pricing
• Budget allocation
• Competition
• Sales follow-up quality
• Platform algorithm changes

8. Advertising Spend

Advertising budgets (Meta/Google/LinkedIn spend) are paid directly by the client to the advertising platform unless otherwise agreed.

Hashtag Genius is not responsible for platform billing issues, ad account restrictions, or policy violations.

9. Intellectual Property

A. Company IP

All frameworks, templates, systems, SOPs, and internal methodologies shared by Hashtag Genius remain the intellectual property of the Company unless explicitly transferred in writing.

B. Client Assets

Clients retain ownership of their logos, brand assets, and proprietary content shared with us.

C. Deliverables

Once full payment is received, the client receives usage rights to final deliverables created specifically for them, unless otherwise stated.

10. Confidentiality

Both parties agree to maintain confidentiality of:

• Business strategies
• Campaign data
• Client information
• Pricing agreements
• Trade secrets and internal documents

Confidentiality remains valid even after termination.

11. Third-Party Tools & Platforms

We may use third-party tools such as:

• Google Analytics
• Meta Ads Manager
• CRM platforms
• Email/SMS/WhatsApp services
• Automation and tracking tools

Hashtag Genius is not responsible for downtime, policy changes, or service failures of third-party platforms.

12. Termination

Either party may terminate service with written notice as per the agreed contract terms.

If terminated:

• Payments already made are non-refundable
• Work will be handed over as per completed scope
• Pending deliverables may not be completed if payment is due

13. Limitation of Liability

Hashtag Genius shall not be liable for:

• Loss of revenue or profits
• Business interruption
• Data loss
• Advertising platform bans/restrictions
• Any indirect or consequential damages

Our liability is limited to the amount paid for the service in the most recent billing cycle.

14. Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be subject to the jurisdiction of courts in Karnataka, India, unless otherwise agreed.

15. Changes to Terms

We may update these Terms at any time. Updates will be posted on this page with the revised “Last Updated” date.
